Terms and Conditions

Section 1

Definitions

1.1 "Platform" means the piemied website, mobile application, and all related services, features, content, and functionality provided by piemied.

1.2 "piemied," "we," "us," or "our" refers to the platform operator, its affiliates, subsidiaries, officers, directors, employees, agents, and representatives.

1.3 "User," "you," or "your" refers to any individual or entity that accesses, uses, or interacts with the Platform.

1.4 "Account" means a registered user account on the Platform.

1.5 "Content" means all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials created, uploaded, or shared by Users on the Platform.

1.6 "Points" means the virtual reward units earned by Users through creating Content, engaging with other Content, and participating in Platform activities.

1.7 "Content Creation" means the act of creating, uploading, posting, or sharing original Content on the Platform, including but not limited to text posts, images, videos, and other creative works.

1.8 "Engagement" means interacting with Content on the Platform, including but not limited to viewing, liking, commenting, and sharing.

1.9 "Redemption" means the process of converting accumulated Points into rewards, benefits, or other value as determined by piemied.

1.10 "Personal Information" means any information that can be used to identify a specific individual, including but not limited to name, email address, phone number, and payment information.

1.11 "User Content" means Content created, uploaded, posted, or shared by Users on the Platform.

1.12 "Platform Content" means Content owned by piemied or provided by piemied on the Platform.

Section 2

Nature of Platform

2.1 Content Creation and Engagement Platform. piemied is a content creation and engagement platform designed to reward Users for creating original Content, engaging with community Content, and participating in Platform activities.

2.2 Not a Job or Employment. The Platform is NOT an employer, and no employment relationship is created between piemied and Users. Users participate voluntarily and are not entitled to any employment benefits, including but not limited to wages, benefits, workers' compensation, unemployment insurance, or any other employment-related benefits.

2.3 Not a Guaranteed Income Source. The Platform is NOT a guaranteed income source. Points earned through Content Creation and Engagement are virtual rewards and do not constitute guaranteed income. The Platform is provided for entertainment, community engagement, and creative expression purposes.

2.4 Voluntary Participation. Users participate in Platform activities voluntarily and at their own discretion. The Platform does not require Users to create Content or engage with Content in exchange for compensation.

2.5 No Minimum Earnings. The Platform does not guarantee any minimum earnings, points, or rewards. The amount of Points a User can earn depends entirely on their level of participation and the quality and quantity of their Content.

2.6 No Obligation to Provide Content. The Platform does not require Users to create Content or engage with Content. Users may choose to participate in Platform activities at their own discretion.

2.7 No Obligation to Continue. The Platform may be modified, suspended, or discontinued at any time without notice. Users acknowledge that the Platform is provided on an "as is" and "as available" basis.

                ⚠️ Important: piemied is a content creation and engagement platform. It is not an employment opportunity, guaranteed income source, or investment opportunity. Users should not expect or rely on the Platform as a substitute for employment or income.
            

Section 3

Acceptance of Terms

3.1 Binding Agreement. By creating an Account, accessing, or using the Platform, you represent and warrant that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

3.2 Age Requirement. You must be at least eighteen (18) years of age to create an Account and use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.

3.3 Changes to Terms. piemied reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time without prior notice. Changes will be effective immediately upon posting on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

3.4 Supplementary Policies. Additional terms and conditions may apply to specific features or services offered on the Platform, including but not limited to Content Creation, Redemption procedures, Referral programs, and promotional campaigns. Such supplementary terms are incorporated into these Terms by reference.

3.5 Electronic Agreement. You agree that your acceptance of these Terms is an electronic agreement and that you consent to receive this agreement and any notices electronically.

Section 4

User Accounts

4.1 Account Creation. To access certain features of the Platform, you must create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to maintain its accuracy.

4.2 Account Security. You are solely responsible for maintaining the confidentiality of your Account credentials, including your username, password, and any other security information. You agree to:

(a) Not share your password or allow any third party to access your Account;
(b) Immediately notify piemied of any unauthorized use of your Account;
(c) Log out of your Account at the end of each session;
(d) Use strong passwords and change them periodically.

4.3 Account Liability. You are fully responsible for all activities that occur under your Account, whether or not you have authorized such activities. piemied shall not be liable for any loss or damage arising from your failure to comply with this Section.

4.4 One Account Policy. Each individual is permitted to maintain only one (1) active Account on the Platform. Creation of multiple Accounts, including but not limited to using multiple email addresses or phone numbers, is strictly prohibited and may result in termination of all Accounts and forfeiture of all Points.

4.5 Account Termination. piemied reserves the right to suspend, disable, or permanently terminate your Account at any time, with or without cause, and with or without notice. Upon termination, you will lose access to your Account and all Points, Content, and benefits associated therewith.

4.6 Inactive Accounts. Accounts that remain inactive for a period of twelve (12) months or more may be subject to suspension or termination, and all Points associated with such Accounts may be forfeited.

4.7 Account Recovery. If you forget your password, you may request a password reset through the Platform's designated process. piemied is not responsible for lost accounts or lost Points due to forgotten passwords.

Section 5

User Conduct

5.1 Prohibited Activities. You agree NOT to:

(a) Use the Platform for any unlawful purpose or in any way that violates any applicable federal, state, local, or international law or regulation;
(b) Engage in any fraudulent, deceptive, or misleading conduct;
(c) Create multiple Accounts, use automated systems, bots, or scripts to interact with the Platform;
(d) Manipulate, falsify, or artificially inflate Points, Content Creation, or any other metrics;
(e) Harvest, collect, or store personal information of other Users without their express consent;
(f) Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
(g) Interfere with or disrupt the operation of the Platform, servers, or networks;
(h) Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious code;
(i) Attempt to gain unauthorized access to the Platform, other Accounts, or computer systems;
(j) Use the Platform to distribute spam, chain letters, or unsolicited commercial communications;
(k) Upload, post, or transmit any Content that is defamatory, obscene, offensive, harassing, discriminatory, or otherwise objectionable;
(l) Violate the rights of others, including patent, trademark, trade secret, copyright, privacy, or publicity rights;
(m) Engage in any activity that could damage, disable, overburden, or impair the Platform;
(n) Sell, transfer, or trade Points, Accounts, or any Platform benefits outside of official piemied channels.

5.2 Content Standards. Any Content you upload, post, or share on the Platform must comply with these Terms. piemied reserves the right, but does not have the obligation, to remove any Content that violates these Terms or is otherwise objectionable in our sole discretion.

5.3 User Interactions. You are solely responsible for your interactions with other Users. piemied is not responsible for the conduct of any User, whether online or offline. You agree to exercise caution and use common sense when interacting with other Users.

5.4 Reporting Violations. If you believe that any User or Content violates these Terms, please report it to us at support@piemied.work. We will review the report and take appropriate action.

                ⚠️ Important: Violation of this Section may result in immediate termination of your Account and forfeiture of all Points, without prior notice or the right to appeal.
            

Section 6

Points and Rewards

6.1 Points Overview. Points are virtual reward units that Users may earn by creating Content, engaging with Content, and participating in Platform activities. Points have no guaranteed monetary value.

6.2 Point Accumulation.

(a) Points are awarded in accordance with the specific rules of each Content Creation activity or engagement.
(b) Points are credited to your Account upon successful completion and verification of activities.
(c) piemied reserves the right to verify all activities before awarding Points.
(d) Points may be subject to expiration, forfeiture, or adjustment as determined by piemied.
(e) Points are awarded at piemied's sole discretion.

6.3 Point Value.

(a) The value of Points is determined by piemied and may be changed at any time without prior notice.
(b) piemied makes no guarantee as to the value, stability, or convertibility of Points.
(c) Points have no inherent monetary value and are provided as rewards for participation.
(d) Points are not currency and cannot be used outside the Platform.

6.4 Point Forfeiture.

(a) Points may be forfeited if your Account is terminated for any reason.
(b) Points may be forfeited if you violate these Terms or engage in fraudulent activity.
(c) Points may expire if your Account remains inactive for six (6) months or more.
(d) Points earned through fraudulent means will be reversed and may result in Account termination.
(e) piemied reserves the right to adjust, reverse, or forfeit Points in cases of errors, glitches, or system malfunctions.

6.5 No Property Rights. Points are not your property and do not constitute a property interest. You have no ownership rights in Points, and Points have no monetary value except as specifically provided in these Terms.

6.6 Non-Transferability. Points are non-transferable and may not be sold, traded, or exchanged between Users or with third parties. Any attempt to transfer Points is null and void.

                ⚠️ Important: Points have no guaranteed value and may be adjusted, reversed, or forfeited at any time. piemied makes no guarantees regarding the future value or availability of Points.
            

Section 7

Content Creation

7.1 Content Ownership. You retain ownership of your Content. By submitting Content to the Platform, you grant piemied a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Content in any and all media now known or hereafter developed.

7.2 Content Quality. You are responsible for the quality and accuracy of your Content. piemied reserves the right to remove any Content that is deemed low quality, spam, or otherwise objectionable.

7.3 Content Modification. piemied may modify, adapt, or edit your Content to improve its quality, format, or presentation, provided that such modifications do not substantially alter the meaning or intent of your original Content.

7.4 Content Removal. You may remove your Content at any time. However, piemied may retain copies of your Content as required by law or for legitimate business purposes.

7.5 No Compensation for Content. piemied does not compensate Users for the creation of Content. Points are provided solely as a reward for participation and engagement, not as compensation for the Content itself.

7.6 Content Standards. All Content must comply with these Terms and applicable laws. Content that violates these Terms may be removed without notice.

7.7 Content Liability. You are solely responsible for the Content you create and share on the Platform. piemied is not responsible for any Content that is inaccurate, offensive, or otherwise objectionable.

                💡 Important: By creating Content on piemied, you grant us a license to use, display, and distribute your Content. You remain the owner of your Content, but you should not expect compensation for the Content itself.
            

Section 8

Intellectual Property

8.1 Platform Content. All Content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of piemied or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws.

8.2 Limited License. piemied grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use. This license does not include any rights to:

(a) Modify, copy, or reproduce the Platform Content;
(b) Use the Platform Content for commercial purposes;
(c) Create derivative works based on the Platform Content;
(d) Remove any copyright or proprietary notices;
(e) Use any data mining, robots, or similar data gathering and extraction methods.

8.3 User Content. By submitting Content to the Platform, you grant piemied a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Content in any and all media now known or hereafter developed.

8.4 Trademarks. piemied, the piemied logo, and all associated trademarks, service marks, and trade names are the exclusive property of piemied. You may not use any of these marks without the prior written consent of piemied.

8.5 Copyright Infringement. If you believe that any Content on the Platform infringes your copyright, please contact us at support@piemied.work with the following information:

(a) A physical or electronic signature of the copyright owner;
(b) Identification of the copyrighted work claimed to have been infringed;
(c) Identification of the material that is claimed to be infringing;
(d) Your contact information;
(e) A statement that you have a good faith belief that use of the material is not authorized;
(f) A statement that the information in the notification is accurate and you are authorized to act.

Section 9

Payment Terms

9.1 Redemption Eligibility. Users may be eligible to redeem Points for rewards or benefits as determined by piemied. Eligibility requirements may include, but are not limited to:

(a) Reaching a minimum Points threshold;
(b) Account in good standing;
(c) Completion of verification procedures;
(d) Compliance with these Terms.

9.2 Redemption Requests. Users must submit redemption requests through the Platform's designated process. All redemption requests are subject to review and approval by piemied.

9.3 Payment Methods. Redemption may be made through various methods, including but not limited to bank transfer, PayPal, cryptocurrency, and mobile money. The availability of payment methods may vary by location.

9.4 Processing Time. Redemption requests are typically processed within the time frame specified on the Platform. piemied does not guarantee specific processing times and is not liable for delays.

9.5 Redemption Limitations. Redemption amounts may be subject to minimum and maximum limits. Users may be limited to a certain number of redemption requests per time period.

9.6 Tax Responsibility. You are solely responsible for reporting and paying any taxes on redemption amounts. piemied may be required to report redemption payments to tax authorities.

9.7 Redemption Reversal. piemied reserves the right to reverse redemption payments if they were made in error or due to fraud. If a redemption is reversed, the corresponding Points may be restored to your Account.

                ⚠️ Important: Redemption is subject to review and approval. piemied may deny any redemption request at its sole discretion.
            

Section 10

No Guarantee of Earnings

10.1 No Guaranteed Income. piemied does NOT guarantee any income, earnings, or rewards. The Platform is provided for entertainment, community engagement, and creative expression purposes.

10.2 No Employment Relationship. The Platform does NOT create any employment, agency, partnership, joint venture, or fiduciary relationship between piemied and Users.

10.3 No Investment Opportunity. The Platform is NOT an investment opportunity. Users should not expect to earn money or profit from their participation.

10.4 No Guarantee of Points. The Platform does NOT guarantee that Users will earn any specific number of Points. Points are awarded at piemied's sole discretion.

10.5 No Guarantee of Content Distribution. The Platform does NOT guarantee that Content created by Users will be seen, viewed, or engaged with by other Users.

10.6 User Responsibility. Users are solely responsible for their decision to participate in Platform activities. Users should not rely on the Platform as a substitute for employment or income.

                ⚠️ Important: piemied makes NO GUARANTEES of any kind regarding earnings, rewards, or income. Users participate at their own risk and should not expect to make money from the Platform.
            

Section 11

Limitation of Liability

11.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL piemied, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

(a) LOSS OF PROFITS, REVENUE, OR BUSINESS;
(b) LOSS OF DATA OR INFORMATION;
(c) LOSS OF GOODWILL OR REPUTATION;
(d) COST OF SUBSTITUTE GOODS OR SERVICES;
(e) DAMAGES FOR INCONVENIENCE OR EMOTIONAL DISTRESS;
(f) ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT;
(g) ANY DAMAGES ARISING FROM LOSS OF POINTS OR FAILURE TO REDEEM;
(h) ANY DAMAGES ARISING FROM CHANGES TO THE PLATFORM;
(i) ANY DAMAGES ARISING FROM USER-GENERATED CONTENT;
(j) ANY DAMAGES ARISING FROM THIRD-PARTY SERVICES.

11.2 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF piemied FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE LESSER OF:

(a) THE TOTAL AMOUNT OF POINTS YOU HAVE EARNED AND REDEEMED IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR
(b) FIFTY DOLLARS ($50.00).

11.3 No Liability for Platform Changes. piemied shall not be liable for any changes to the Platform, including but not limited to changes to Points, Content Creation, or Redemption rules.

11.4 No Liability for User Content. piemied is not responsible for User-generated Content, including but not limited to Content that is inaccurate, offensive, or otherwise objectionable.

11.5 No Liability for Third-Party Services. piemied is not responsible for any third-party services, websites, or content accessible through the Platform.

11.6 No Liability for System Errors. piemied shall not be liable for any errors, omissions, interruptions, deletions, defects, or delays in the operation of the Platform.

                ⚠️ Important: Our liability is limited to the maximum extent permitted by law. In no event will our total liability exceed $50.00 USD.
            

Section 12

Indemnification

12.1 Your Obligations. You agree to indemnify, defend, and hold harmless piemied and its officers, directors, employees, agents, affiliates, and successors from and against any and all claims, demands, actions, liabilities, costs, damages, and expenses (including reasonable attorneys' fees and legal costs) arising from or related to:

(a) Your use of the Platform;
(b) Your violation of these Terms;
(c) Your violation of any applicable laws or regulations;
(d) Your violation of the rights of any third party, including intellectual property rights;
(e) Your Content on the Platform;
(f) Your interactions with other Users;
(g) Any fraudulent activity engaged in by you;
(h) Any claims by third parties regarding Content Creation, Points, or Redemption activities.

12.2 Defense. piemied reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with piemied in asserting any available defenses.

12.3 Settlement. You shall not settle any claim without the prior written consent of piemied.

Section 13

Dispute Resolution and Arbitration

                ⚠️ PLEASE READ THIS SECTION CAREFULLY. It affects your legal rights, including your right to file a lawsuit in court and your right to participate in class actions.
            

13.1 Informal Resolution. Before filing any claim, you agree to contact us at support@piemied.work to attempt to resolve the dispute informally. We will attempt to resolve the dispute within thirty (30) days of receiving your contact.

13.2 Mandatory Arbitration. If we are unable to resolve a dispute through informal resolution, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, in effect at the time the arbitration is commenced.

13.3 Arbitration Location. The arbitration shall be held in the county where you reside, or at another mutually agreed location. If the value of the dispute does not exceed $10,000, the arbitration shall be conducted solely on the basis of documents submitted to the arbitrator, unless either party requests a hearing.

13.4 Arbitration Costs. Each party shall bear its own costs and expenses associated with the arbitration, including attorneys' fees. The prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.

13.5 Class Action Waiver. YOU AGREE THAT ANY ARBITRATION OR OTHER PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING.

13.6 Small Claims Court. Notwithstanding the foregoing, either party may bring an individual action in small claims court if the claim falls within the jurisdiction of the small claims court.

13.7 Choice of Law. These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

13.8 Venue. If for any reason a dispute proceeds in court rather than through arbitration, you and piemied agree that exclusive jurisdiction and venue shall be in the federal or state courts located in Delaware.

                ⚠️ Important: By using the Platform, you waive your right to a jury trial and your right to participate in class actions.
            

Section 14

Termination

14.1 Termination by piemied. piemied may, in its sole discretion, suspend, terminate, or restrict your access to the Platform at any time, with or without cause, and with or without notice, including but not limited to:

(a) Violation of these Terms;
(b) Suspected fraudulent activity;
(c) Inactivity for twelve (12) months or more;
(d) Non-compliance with applicable laws;
(e) At the request of law enforcement or government agencies;
(f) Technical issues or security concerns.

14.2 Effect of Termination. Upon termination of your Account:

(a) All rights and licenses granted to you under these Terms will immediately cease;
(b) You will lose access to your Account and all associated Points;
(c) You will not be entitled to any compensation for lost Points or access;
(d) piemied may delete all Content associated with your Account.

14.3 Survival. The following sections shall survive termination: Sections 1, 5, 6, 7, 8, 9, 10, 11, 12, 13, 14, 15, and 16.

Section 15

Privacy and Data Protection

15.1 Privacy Policy. Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms. You agree to the collection, use, and processing of your personal information as described in the Privacy Policy.

15.2 Data Collection. piemied collects and processes data as necessary to provide the Platform and improve user experience. This includes:

(a) Account information;
(b) Content Creation data;
(c) Transaction history;
(d) Communication preferences;
(e) Usage data and analytics.

15.3 Data Security. piemied implements reasonable security measures to protect your data. However, no security system is impenetrable, and we cannot guarantee the security of your data.

15.4 International Data Transfer. Your data may be transferred to and processed in countries other than your country of residence, including the United States, which may have different data protection laws.

Section 16

General Provisions

16.1 Entire Agreement. These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and piemied regarding the Platform.

16.2 Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

16.3 Waiver. The failure of piemied to enforce any provision of these Terms shall not constitute a waiver of such provision or the right to enforce it later.

16.4 Assignment. You may not assign these Terms or any rights or obligations hereunder without the prior written consent of piemied. piemied may assign these Terms without restriction.

16.5 Force Majeure. piemied shall not be liable for any failure to perform its obligations hereunder if such failure is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, natural disasters, pandemics, network failures, or government actions.

16.6 Notices. Notices to piemied shall be sent to: support@piemied.work. Notices to you may be sent to the email address associated with your Account or posted on the Platform.

16.7 Relationship. These Terms do not create any partnership, agency, joint venture, employment, or fiduciary relationship between you and piemied.

16.8 Headings. The section headings in these Terms are for convenience only and shall not affect their interpretation.

16.9 Language. These Terms are drafted in English. Any translated version is provided for convenience only and the English version shall prevail in case of any conflict.

Acknowledgment

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT:

(a) YOU HAVE READ AND UNDERSTAND THESE TERMS;
(b) YOU AGREE TO BE BOUND BY ALL OF THESE TERMS;
(c) YOU HAVE THE LEGAL CAPACITY TO ENTER INTO THIS AGREEMENT;
(d) YOU ARE AT LEAST 18 YEARS OLD;
(e) YOU UNDERSTAND THAT piemied IS A CONTENT CREATION AND ENGAGEMENT PLATFORM;
(f) YOU UNDERSTAND THAT piemied IS NOT AN EMPLOYER AND NO EMPLOYMENT RELATIONSHIP EXISTS;
(g) YOU UNDERSTAND THAT piemied DOES NOT GUARANTEE ANY INCOME OR EARNINGS;
(h) YOU UNDERSTAND THAT POINTS HAVE NO GUARANTEED VALUE;
(i) YOU UNDERSTAND THAT piemied MAY TERMINATE YOUR ACCOUNT AT ANY TIME;
(j) YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND CLASS ACTIONS;
(k) YOU AGREE TO ARBITRATE ALL DISPUTES;
(l) YOU ACCEPT THAT YOUR LIABILITY IS LIMITED TO $50.00 USD;
(m) YOU UNDERSTAND THAT CONTENT CREATION DOES NOT ENTITLE YOU TO COMPENSATION;
